TOCH Consulting – Free Proof of Concept (PoC) Terms and Conditions

1. Eligibility

1.1. This offer is available to organizations that:- Are enrolled in the Snowflake Marketplace Capacity Drawdown (MCD) program.- Download or subscribe to QPR ProcessAnalyzer from the Snowflake Marketplace using MCD credits.- Are located in a region where the Snowflake MCD program is currently available.

1.2. The offer is not available to:- Organizations purchasing through a Snowflake reseller or via Google Cloud Marketplace.- Organizations outside supported MCD regions.- Individuals or non-commercial users. 2. Offer Description

2.1. Eligible organizations will receive a Free Proof of Concept (PoC) engagement delivered by TOCH Consulting Ltd ("TOCH"). 2.2. The PoC demonstrates the use of QPR ProcessAnalyzer on Snowflake to analyze one selected business process.

2.3. The PoC is designed for demonstration purposes only and is not a production implementation.

3. Scope of Work

3.1. Includes:- Discovery session (up to 1 hour) to confirm data and objectives.- Data extraction and setup within Snowflake and QPR ProcessAnalyzer.- Analysis of one defined process area.- Delivery of PoC results presentation and recommendations.

3.2. Duration will not exceed four (4) weeks from project kickoff.

3.3. Additional work outside scope is subject to a separate quotation. 4. Data and Access Requirements

4.1. Client will provide timely access to required data sources and environments within Snowflake.

4.2. Client is responsible for ensuring shared data complies with internal governance, privacy, and security policies.

4.3. TOCH will handle client data in compliance with applicable data protection laws and its Data Privacy Policy. 5. Commercial Terms

5.1. PoC is provided free of charge, contingent upon eligible QPR ProcessAnalyzer download via Snowflake Marketplace under the MCD program.

5.2. No payment is required for PoC delivery.

5.3. Any subsequent implementation or consulting services are subject to a separate commercial agreement.

6. Limitations 6.1. Limited to one (1) PoC per organization.

6.2. TOCH reserves the right to decline participation if data access or scope is unsuitable.

6.3. Offer available for a limited time and may be withdrawn or modified without notice.

6.4. TOCH and QPR Software make no warranties regarding PoC outcomes or business benefits.

7. Confidentiality

7.1. Both parties agree to keep all non-public information confidential and use it solely for executing the PoC. 8. Governing Law

8.1. Governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of its courts.

9. Acceptance

9.1. Participation in the Free PoC offer constitutes acceptance of these Terms and Conditions.
